Contract Administration

Standard Contracts

Standard Contracts have been pre-approved by the General Counsel (GC) as to form and legality, and may be appropriate when entering into relatively simple agreements. Standard Contracts adequately protect the College’s interests, are written in clear language, expedite the contract review and approval process, and are intended to be fair to all parties. Any substantive change to a Standard Contract will render it non-standard and it shall be submitted to the Office of General Counsel (OGC) for review and approval using the Legal Services Request Form. Substantive changes do not include inserting the description of goods or services, or the price. Since changes may occasionally be made to the approved standard contracts, they must be downloaded from this Web page for each use. To use a standard contract, follow the procedures in Contracts Administration Desktop Procedure 03-02.

Criteria for use of a standard contract:

  • Existing Standard Contract. If a standard contract exists for your situation or agreement, please advise the contracting party that you need to use the College’s standard contract.
  • Repeated Use. Utilize College standard contracts for recurring situations and agreements.
  • OGC Approval. OGC approval is not required for execution of the standard contracts listed on this site provided that the user follows the procedures set forth in Desktop Procedure 03-02 and the contract language remains unchanged. If a standard contract is revised, it must be approved by the OGC and Contract Administration prior to obtaining any signatures.
  • Contract Changes. If the standard contract needs to be changed because (1) terms of your understanding with the contracting party are not covered by or are different from those contained in the standard contract; or (2) the contracting party insists upon changes to the standard contract; then the user must submit a redline version of the revised contract with a summary of the requested changes to the OGC and Contract Administration for prior review and approval. The Legal Services Request Form must be used to submit this request.
  • Customized Contracts. If your department needs a customized contract, please contact your Campus Contracts Officer and complete the Legal Services Request Form.
  • Current Contracts. Please do not download standard contracts for future use as the forms on this Web site will be revised and updated from time to time. To ensure that you are using the most current contract, please revisit the Web site each time you use a standard contract.
  • Contract Execution. Contracts must be signed by the appropriate authority for the College in order to be legally valid and binding. In addition to the President, other individuals have the authority to sign contracts on behalf of the College as the result of the President’s delegation of such authority (See APM 02-0303). If you are unsure who is the appropriate individual to sign your contract, please contact the OGC for guidance.
  • Contract Intake Form. In order to expedite the contract review process, the OGC has implemented a Legal Services Request Form. Your cooperation in completing this form and forwarding it to our office, along with your contract, will assist us in expediting the contract process.
Recommendations for changes to existing contracts or requests for additional standard contracts should be forwarded to the director of contract administration.
